Terms & Conditions

These Terms & Conditions (the “Terms”) govern your access to and use of the website and services provided by Mundos Virtuales LLC. By accessing or using our website or engaging our services, you agree to be bound by these Terms.

1. Definitions

"We", "us", and "Mundos Virtuales LLC" refer to the service provider. "Mundos Virtuales LLC" refers to our registered legal entity in the United States. "You" and "Client" refer to any individual or entity that visits our site or purchases our services.

2. Services

We provide consulting, marketing, and managed platform services for creators and online education businesses. Specific deliverables, timelines, and fees are defined in the Service Agreement or proposal accepted by you.

3. Quotes, Fees & Payment

• Fees are quoted in USD and exclude taxes, ad spend, and third-party tool licenses.
• Fixed-price packages may be prepaid. Monthly services are billed in advance each month.
• Invoices are due within 7 days unless otherwise stated.
• Late payments may incur a 1.5% monthly interest (or the maximum permitted by law).

4. Cancellations & Refunds

• Launch Kit: 50% deposit is non-refundable after project kickoff. Balance refundable pro-rata if work has not been performed.
• Growth Engine & Managed Learning Space: cancel anytime with 14 days’ notice; services continue until the end of the paid period. No partial refunds for elapsed periods.

5. Client Responsibilities

• Provide timely access to required accounts, assets, and approvals.
• Ensure that supplied content does not infringe third-party rights and complies with applicable laws.
• Maintain admin access and payment methods for third-party tools used in your project.

6. Intellectual Property

You retain ownership of your content and brand assets. We retain ownership of our pre-existing templates, processes, and tools. Upon full payment, we grant you a non-exclusive, worldwide, royalty-free license to use our deliverables for your business purposes.

7. Confidentiality & Data Protection

Both parties agree to keep confidential information private and use it solely to perform the services. We follow privacy-first practices. Do not send us credentials by email; use a secure password manager or SSO when possible.

8. Warranties & Disclaimers

We provide services using reasonable care and skill but do not guarantee specific commercial outcomes (e.g., revenue, rankings, or enrollment numbers). Except as expressly stated, we disclaim all other warranties to the extent permitted by law.

9. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for any indirect or consequential damages. Our total liability for any claim is limited to the fees paid by you to us in the 3 months preceding the event giving rise to the claim.

10. Termination

Either party may terminate for material breach not cured within 10 days of written notice. Upon termination, you will pay for work performed up to the termination date, and we will provide deliverables in progress subject to payment.

11. Governing Law

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflicts of law principles. Venue shall be the state or federal courts located in Natrona County, Wyoming.

12. Changes

We may update these Terms from time to time. Continued use of our website or services after changes take effect constitutes acceptance of the updated Terms.
