Service Agreement

This Service Agreement (the “Agreement”) is entered into by and between the Client (“Client”) and Mundos Virtuales LLC, operating via its U.S. legal entity Mundos Virtuales LLC, located at 159 N. Wolcott St. Suite 133, Casper, Wyoming 82601, USA.

1. Scope of Services

We will provide the services described in the accepted proposal or the selected package on our website (Launch Kit, Growth Engine, or Managed Learning Space). Any changes in scope require written agreement and may affect fees and timelines.

2. Term & Timeline

Project-based services commence on the date of deposit and continue until deliverables are completed. Monthly services renew automatically on a month-to-month basis unless canceled in accordance with Section 9.

3. Fees & Payment

• Fees are specified in USD and exclude taxes, ad spend, and third‑party tool licenses.
• Launch Kit requires a 50% deposit to schedule work; balance due upon delivery.
• Monthly retainers are billed in advance; invoices are due within 7 days.
• Late payments may incur 1.5% interest per month (or the maximum permitted by law).

4. Client Obligations

• Provide timely access to content, brand assets, and third‑party accounts.
• Designate a single point of contact for approvals within 2 business days.
• Ensure that all materials supplied do not infringe third‑party rights and comply with applicable law.

5. Intellectual Property

Client retains ownership of Client Content. We retain ownership of pre‑existing materials (templates, code snippets, processes). Upon full payment, we grant Client a non‑exclusive, worldwide, royalty‑free license to use the Deliverables for Client’s business purposes. Unless otherwise agreed, we may showcase non‑confidential work results in our portfolio.

6. Confidentiality & Data Protection

Each party shall keep Confidential Information secret and use it solely for performing this Agreement. We apply privacy‑first practices and recommend secure credential sharing (e.g., password managers, SSO).

7. Warranties & Disclaimers

We warrant that services will be performed with reasonable care and skill. We do not warrant specific commercial outcomes (e.g., revenue, rankings, enrollments). Except as expressly stated, all other warranties are disclaimed to the fullest extent permitted by law.

8. Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages. Our aggregate liability arising out of or related to this Agreement shall not exceed the fees paid by Client to us during the 3 months preceding the event giving rise to the claim.

9. Cancellation & Termination

• Client may cancel monthly services with 14 days’ written notice. Services continue until the end of the paid period.
• Either party may terminate for material breach not cured within 10 days after written notice.
• Upon termination, Client shall pay for work performed up to the termination date.

10. Non‑Solicitation

During the term and for 6 months after, Client agrees not to solicit for employment any of our personnel directly involved in the project without our prior written consent.

11. Independent Contractor

We act as an independent contractor. Nothing herein creates an employment, partnership, or joint venture relationship.

12. Governing Law & Venue

This Agreement is governed by the laws of the State of Wyoming, USA. Venue shall be the state or federal courts of Natrona County, Wyoming.

13. Notices

Official notices shall be sent by email to hello@mundosvirtualesllc.com and are deemed received upon confirmation of delivery.

14. Entire Agreement

This Agreement, together with the accepted proposal or order, constitutes the entire agreement and supersedes all prior discussions. Any amendments must be in writing and signed by both parties.

15. Signatures

Agreed and accepted by the parties on the date of last signature.
